Schedule 1
The statements above and financial information provided in this earnings release include non-GAAP measures of operating income, operating margin, net income and earnings per share. Management excludes from these measures stock-based compensation, restructuring, acquisition and integration expenses, impairment charges, amortization charges and other unusual or infrequent items, as adjusted for taxes, as more fully described below.
Management excludes these items principally because such charges or benefits are not directly related to the Company’s ongoing core business operations. We use such non-GAAP measures in order to (1) make more meaningful period-to-period comparisons of the Company’s operations, both internally and externally, (2) guide management in assessing the performance of the business, internally allocating resources and making decisions in furtherance of Company’s strategic plan, (3) provide investors with a better understanding of how management plans and measures the business and (4) provide investors with a better understanding of our ongoing, core business. The material limitations to management’s approach include the fact that the charges, benefits and expenses excluded are nonetheless charges, benefits and expenses required to be recognized under GAAP and, in some cases, consume cash which reduces the Company’s liquidity. Management compensates for these limitations primarily by reviewing GAAP results to obtain a complete picture of the Company’s performance and by including a reconciliation of non-GAAP results to GAAP results in its earnings releases.
Additional information regarding the economic substance of each exclusion, management’s use of the resultant non-GAAP measures, the material limitations of management’s approach and management’s methods for compensating for such limitations is provided below.
Stock-based Compensation Expense, which consists of non-cash charges for the estimated fair value of equity awards granted to employees and directors, is excluded in order to permit more meaningful period-to-period comparisons of the Company’s results since the Company grants different amounts and value of equity awards each quarter. In addition, given the fact that competitors grant different amounts and types of equity awards and may use different valuation assumptions, excluding stock-based compensation permits more accurate comparisons of the Company’s core results with those of its competitors.
Restructuring, Acquisition and Integration Expenses, which consist of employee severance, lease termination costs, exit costs, environmental investigation, remediation and related employee costs and other charges primarily related to closing and consolidating manufacturing facilities and those associated with the acquisition and integration of acquired businesses, are excluded because such charges (1) can be driven by the timing of acquisitions and exit activities which are difficult to predict, (2) are not directly related to ongoing business results and (3) generally do not reflect expected future operating expenses. In addition, given the fact that the Company’s competitors complete acquisitions and adopt restructuring plans at different times and in different amounts than the Company, excluding these charges or benefits permits more accurate comparisons of the Company’s core results with those of its competitors. Items excluded by the Company may be different from those excluded by the Company’s competitors and restructuring and integration expenses include both cash and non-cash expenses. Cash expenses reduce the Company’s liquidity. Therefore, management also reviews GAAP results including these amounts.
Impairment Charges for Goodwill and Other Assets, which consist of non-cash charges, are excluded because such charges are non-recurring and do not reduce the Company’s liquidity. In addition, given the fact that the Company’s competitors may record impairment charges at different times, excluding these charges permits more accurate comparisons of the Company’s core results with those of its competitors.
Amortization Charges, which consist of non-cash charges impacted by the timing and magnitude of acquisitions of businesses or assets, are also excluded because such charges do not reduce the Company’s liquidity. In addition, such charges can be driven by the timing of acquisitions, which is difficult to predict. Excluding these charges permits more accurate comparisons of the Company’s core results with those of its competitors because the Company’s competitors complete acquisitions at different times and for different amounts than the Company.
Other Unusual or Infrequent Items, such as charges or benefits associated with distressed customers, expenses, charges and recoveries relating to certain legal matters, and gains and losses on sales of assets, are excluded because such items are typically non-recurring, difficult to predict or not directly related to the Company’s ongoing or core operations and are therefore not considered by management in assessing the current operating performance of the Company and forecasting earnings trends. However, items excluded by the Company may be different from those excluded by the Company’s competitors. In addition, these items include both cash and non-cash expenses. Cash expenses reduce the Company’s liquidity. Management compensates for these limitations by reviewing GAAP results including these amounts.
Adjustments for Taxes, which consist of the tax effects of the various adjustments that we exclude from our non-GAAP measures and adjustments related to deferred tax and discrete tax items. Including these adjustments permits more accurate comparisons of the Company’s core results with those of its competitors. We determine the tax adjustments based upon the various applicable effective tax rates. In those jurisdictions in which we do not expect to realize a tax cost or benefit (due to a history of operating losses or other factors), a reduced tax rate is applied.

NAVER D2SF Invests in On-Device AI Startup TraceWeave

TraceWeave develops its own post-Transformer AI architecture that enables AI agents to run on memory-constrained devicesCompletes paid pilot in mobility; pursues commercialization across robots, drones, smart glasses, and moreNAVER D2SF continues to invest in on-device AI and next-generation device technologies
SEOUL, South Korea, Oct. 20, 2026 /PRNewswire/ — NAVER D2SF has made a new investment in TraceWeave, an on-device AI startup led by co-founder and CEO Jaeyoung Park. TraceWeave is the team behind Phase-TITAN, a post-Transformer architecture that understands long contexts and carries out multi-step tasks while keeping memory usage constant. NAVER D2SF recognized the company’s core technology for enabling AI agents on resource-constrained devices.
As AI expands to robots, vehicles, smart glasses, and drones, its applications are advancing beyond simple chatbots toward complex reasoning and decision-making. In Transformer-based models, the key-value cache (KV-Cache) grows with context length, requiring more memory. On-device constraints in memory, battery life, and heat have made it difficult to implement AI agents that understand long contexts and perform complex tasks.
TraceWeave’s Phase-TITAN is a new AI architecture designed to resolve this memory bottleneck by replacing the conventional Transformer architecture altogether. TraceWeave develops its own AI models rather than relying on existing open-source models. Memory usage remains constant as context grows. According to TraceWeave, at a 1M-token context without quantization, a comparable Transformer’s KV-Cache holds tens of gigabytes or more, while its 1B Phase-TITAN model holds 0.04 GB. This enables agents to call tools, interpret results, and decide on their next actions entirely on the device, without cloud calls. TraceWeave’s internal benchmarks on RULER and BFCL indicate that Phase-TITAN maintains performance on par with Transformer models of the same size and larger.
TraceWeave has demonstrated a multi-step agent running on a smartphone using only its CPU, without cloud calls. In mobility, it completed a paid pilot with the autonomous driving affiliate of a global automotive group, identifying driving-data frames that improve the partner’s autonomous driving model without human annotation. It is also validating in-vehicle agent performance with a global automotive electronics software company and exploring opportunities in robots, drones, smart glasses, and wearables. TraceWeave was a Top 20 finalist in NVIDIA’s 2026 Inception Grand Challenge.
TraceWeave was co-founded in October 2025 by researchers with backgrounds at ETH Zurich, Google, and KAIST. The team combines engineering expertise grounded in computational neuroscience and physics with business development capabilities, designing its own architecture and validating it in device environments that reflect real-world customer needs. In this seed round led by Mirae Asset Capital, TraceWeave raised approximately KRW 3 billion at a pre-money valuation of approximately KRW 30 billion. Based at NAVER D2SF @Gangnam, the company plans to use the funding to expand its research and engineering team for next-generation architecture development and grow its business.
“Taking the KV cache out was never the hard part. Staying capable without it was,” said Jaeyoung Park, co-founder and CEO of TraceWeave. “The best part is no part. Phase-TITAN already delivers Transformer-class capability without the Transformer’s memory tax, and the next one goes well beyond its class, with the memory still fixed.”
“On-device AI is a core technology for implementing complex, advanced AI across diverse device environments beyond PCs, and it also offers advantages in reducing cloud call costs and protecting privacy,” said Sanghwan Yang, Head of NAVER D2SF. “TraceWeave is a team that is innovating AI architecture to overcome the limitations of existing AI models and bring AI to on-device environments.”

EPG Chief Technology Officer Enso Li also presented AI Core at the Energy Security & Efficiency Theatre, demonstrating how standardized modules and factory prefabrication can accelerate data center deployment.
Alongside these industry discussions, EPG continued to strengthen its global partnerships. The company signed cooperation agreements with international industry partners across AI data center planning, construction and delivery. These collaborations will support the development of next-generation data center infrastructure, broaden EPG’s ecosystem across the Asia-Pacific and expand its presence in global markets.
Complementing these industry engagements, EPG showcased its AI Core and Edge POD solutions across its exhibition space, welcoming visitors to explore its modular infrastructure offerings. AI Core takes a prefabricated, modular approach to AI infrastructure, integrating standardized power, cooling and other critical infrastructure modules to simplify deployment and enable flexible expansion as compute requirements grow. Built on this modular approach, EPG’s E Series offers configurable solutions tailored to different project requirements. One of its offerings, Edge POD, is an all-in-one solution for distributed computing environments where power availability and deployment speed are critical. Designed for 1–10 MW applications, Edge POD supports rapid deployment, low-latency computing and distributed redundancy.
EPG’s joint venture, MagPro, also introduced its new magnetic levitation chiller platform, AeroLev 1850. The 1.85 MW-class, air-cooled, magnetic-bearing chiller platform is designed for next-generation AI data centers in water-scarce, high-ambient environments, with chilled-water outlet temperatures of up to 45°C. Its cooling-tower-free architecture combines oil-free magnetic-levitation technology with intelligent controls to deliver efficient, reliable cooling while reducing water consumption.
The launch of AeroLev 1850 marks a strategic milestone in EPG’s global cooling technology roadmap. Established in May 2026, MagPro brings together EPG’s data center engineering and global delivery expertise with CIGU’s magnetic-levitation technology and R&D capabilities. The partnership expands EPG’s portfolio into advanced cooling to address the demands of high-density AI computing while reducing reliance on water-intensive cooling systems.
“AI computing is reshaping the infrastructure requirements of data centers,” said Alick Wan, Founder and Chairman of EPG. “Our focus extends beyond individual technological breakthroughs. By combining modular and standardized solutions with global delivery capabilities, we aim to help customers deploy and scale computing infrastructure efficiently across markets. We will continue working with global partners to build more efficient and resilient infrastructure for the next generation of digital growth.”
Looking ahead, EPG will continue to evolve its solutions and strengthen its capabilities to meet the changing demands of the data center industry.
